Terms & Conditions

These Terms govern your use of Photodex's private, collaborative photo archive. Read the Shared Definitions alongside them. The Privacy Policy explains how personal information is handled; the Acceptable Use, Community and Moderation, and Copyright and Takedown Policies form part of these Terms.

1. Who we are and who may use Photodex

Photodex is operated by Photodex Ltd, company number [insert verified number], registered office 124 City Road, London, United Kingdom, EC1V 2NX; contact details are in Contact and Legal Notices. You must be at least 18 to create an Account or use the Service. Do not create an Account for somebody under 18 or misrepresent your age. Children may appear in family Photos, but this does not allow a child to hold an Account. We may ask for reasonable verification and restrict an Account where we reasonably believe the age rule is breached.

Use accurate information, protect your credentials, and notify us promptly of suspected unauthorised use. One personal Account is for one person. You are responsible for activity carried out with your Account where you have failed to take reasonable care, but this does not make you responsible for a security failure caused by us. Invitations are personal; do not use another person's credentials or evade permission controls.

2. Albums, permissions and sharing

Owners decide who to invite and which available permissions to grant. Members may see Photos, album details, labels and the names of uploaders. An Owner, and members authorised to invite, may see member names, email addresses and permissions; Owners can see Album activity. A member's ability to view, upload, label, copy, download, invite, create Public Links or remove their own uploads depends on the controls available and set for that Album. Owners should check permissions before sharing. A person who contributes a Photo keeps their rights in that Photo; the Owner's control of an Album does not make the Owner its copyright owner.

Public Links allow anyone with the link to view while it is active, including recipients to whom the original recipient forwards it. An unregistered viewer may see the Album title and description, Photos, original filenames, date, location, people and other labels, descriptions, and uploader names. If downloads are enabled on a Public Link, the viewer may obtain an original file, including metadata embedded in that file. Disabling downloads does not prevent screenshots or other copying by a viewer. Owners should avoid sharing names, locations or sensitive material through a Public Link without considering the people affected. Turning off a link stops future authorised access through it; copies already obtained by others cannot be recalled.

3. Content and the licence you give us

You retain any copyright and other rights you hold in your Photos and Content. You grant us a non-exclusive, worldwide, royalty-free licence, for as long as necessary to provide the Service and any limited lawful retention afterwards, to store, copy, format, transform, transmit and display Content to the people you or an Owner authorise; to operate backups, security, reporting and moderation; and to comply with law. We may permit our service providers to do those things for us. This licence does not let us sell your Photos, use them in advertising, or train general-purpose AI models without another valid basis and notice. It ends when the relevant Content has been deleted from operational systems, subject to limited retained copies described in the Privacy Policy.

You must have the rights and permissions needed to upload, label and share Content, and respect the privacy and rights of people depicted or named. Do not imply that Photodex has verified a person's identity or consent. You may edit or remove your own Content only to the extent the Service and your Album permissions allow; an Owner may remove Content from an Album. If you leave or delete your Account, contributions in another person's Album may remain with attribution changed to "Deleted user", subject to our legal obligations and any successful rights request. Contact us if you need assistance concerning a contribution that you cannot remove yourself.

4. Plans, limits and trials

The proposed plans are Free: 2 Albums, 100 Photos per Album and no active Public Links; Standard: 5 Albums, up to 1,000 Photos or 10 GB per Album, with 1 active Public Link; Premium: 20 Albums, up to 1,000 Photos or 25 GB per Album, with 3 active Public Links. Each individual Photo is limited to 10 MB. Standard is proposed at £1.99 monthly or £21.49 yearly; Premium at £3.99 monthly or £43.09 yearly. The checkout must show the applicable price, taxes, Billing Period, limits and any variation before you commit; that confirmed offer governs your purchase. Limits may constrain an upload when either the count or storage cap is reached. Plan limits belong to the Album Owner, including uploads by invited members. Additional paid packs, if offered, must be clearly described before purchase.

Eligible new Accounts may receive one 14-day Premium trial. Eligibility and any payment authorisation or conversion into a paid plan must be explained at sign-up. We will not charge for a trial merely because it ends unless you have expressly accepted the paid Subscription terms and a payment method. If you have, the amount and first payment date must be displayed before acceptance, and you can cancel before the charge. Trial-abuse checks may use verified email, phone, payment or device information where lawfully implemented and described in the Privacy Policy.

5. Payment, renewal and cancellation

Stripe processes payments; we do not receive your full card number. A paid Subscription renews at the interval accepted at checkout until cancelled. You can cancel through the Account billing control or by contacting us; cancellation normally stops the next renewal and paid access continues to the end of the paid period unless we tell you otherwise or law requires another outcome. We will acknowledge a cancellation request and will not impose unreasonable barriers. A failed payment may lead to reasonable retry, notice and eventual downgrade; it does not authorise an undisclosed fee. We may change prices for a later period only after clear advance notice and an opportunity to cancel before the change takes effect. A material reduction of a paid feature during a prepaid period may entitle you to an appropriate remedy.

Consumer cancellation, cooling-off, refund and statutory remedies apply where required by law. These Terms do not ask you to waive them by using the Service. The exact treatment of an immediate-start service or digital content and any sums due following statutory cancellation must be presented in the checkout and confirmed in a durable form where required. Please contact us if you believe you are entitled to a refund; we will assess it under the law and the actual service supplied. We do not promise a blanket "no refunds" rule.

6. Downgrades and capacity

When a trial or paid period ends or you choose a lower plan, the lower plan's limits apply. We pause Public Links above the new active-link allowance and restrict additions or changes where an Album or Account exceeds its entitlement. Existing Content is not deleted solely because of a downgrade; affected Albums can be read-only while you reduce usage or upgrade. People who already have suitable viewing permission should ordinarily retain access, but paused Public Links do not continue to work. We will show the applicable restrictions and available choices in the Service. Downloads continue only where the relevant permission and technical access permit them. We may take separate action for unlawful Content, account deletion, security incidents or permanent closure as these Terms explain.

7. Safety, reports and enforcement

The Acceptable Use Policy prohibits illegal and seriously harmful uses, including child sexual abuse material, non-consensual intimate imagery, unlawful threats, harassment, terrorism-related offences, copyright infringement, malware and fraud. Private Albums are not routinely manually reviewed. We may review private Content and related information where reasonably necessary following a report, suspected illegality, security or safety concern, an automated flag, or a lawful request. We may restrict access, remove Content, preserve relevant evidence, suspend or close an Account and cooperate with competent authorities where lawful or required. We aim to act proportionately and provide a route to challenge decisions, except where doing so would be unlawful or undermine safety or an investigation. See the Community and Moderation Policy.

8. Availability, backups and closure

We will provide the Service with reasonable care and skill, but networks, software and suppliers may fail and access may be interrupted. Photodex is an archive and sharing service, not your only backup. Keep independent copies of irreplaceable originals and metadata. We do not promise perpetual storage or that every Photo can always be recovered. These statements do not remove your statutory remedies if we breach our obligations.

We may stop offering all or part of the Service for a genuine business, legal or technical reason. For a planned permanent closure, we will give reasonable advance notice and a reasonable opportunity to retrieve available Content where practicable, taking account of the circumstances and any legal or safety restriction. We cannot guarantee advance notice where sudden insolvency, security events or events outside our reasonable control prevent it. We will explain practical retrieval options then available; bulk export is not presently promised. We will handle prepayments and any statutory rights fairly.

9. Our responsibility to you

Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any right or liability that cannot lawfully be excluded, including applicable consumer rights and data-protection rights. We are responsible for foreseeable loss caused by our breach of these Terms or failure to use reasonable care and skill. We are not responsible for loss caused by your unauthorised sharing, third-party recipients or your failure to keep independent copies to the extent that loss was not caused by our breach. We do not exclude liability for data loss caused by our own failure to meet an applicable legal duty. The Service is intended for personal and family use; if you use it for business purposes, we are not responsible for business losses to the extent the law permits. Any proposed monetary cap requires legal review and is deliberately omitted pending that review.

10. Changes, complaints and law

We may change these Terms for legal, security, product or operational reasons. We will give reasonable advance notice of material changes, explain their effect and available choices, and seek fresh agreement where law requires. A change will not retrospectively remove an accrued statutory right. Contact us first with a complaint; we will respond reasonably and explain any further route available. These Terms are governed by the law of England and Wales, but this does not deprive a UK consumer of mandatory protections or any right to bring proceedings in the courts available to them by law.
